Evernorth Holdings has filed to register the potential resale of up to 5,218,935 Class A shares under an equity financing arrangement intended to support further XRP purchases. The Nasdaq-listed company estimates the facility could generate approximately $80.7 million in gross proceeds, subject to pricing assumptions and other conditions.

The arrangement is with CF Principal Investments LLC, an affiliate of Cantor Fitzgerald. Under the purchase agreement, Evernorth can elect to issue and sell newly created shares to Cantor periodically, rather than raising the entire amount through a single transaction. Management would determine when to access the facility.

The potential funding figure is an estimate, not money already raised. It assumes all the shares covered by the registration are sold using the $15.46 closing share price on Oct. 22 as a reference. A different stock price or a decision to sell fewer shares would change the amount available.

The transaction also separates Evernorth’s fundraising from Cantor’s subsequent sales to investors. Evernorth would receive money when it sells newly issued shares to Cantor, but would not receive proceeds when Cantor resells those shares. The registration statement covers those potential resales, rather than confirming that the financing has been completed.

According to the prospectus, Evernorth expects a substantial portion of any proceeds to go toward additional XRP acquisitions. Other permitted uses include working capital, general corporate purposes and activities within the XRP ecosystem. Management retains broad discretion, so the potential funding should not be treated as an exclusively earmarked XRP purchase budget.

The facility would give Evernorth another way to finance its digital-asset treasury strategy through the equity market. The company has said it generally intends to raise additional capital when its shares trade above the net asset value of its XRP holdings. That approach seeks to use favorable stock-market pricing to support growth in assets attributable to each share.

For shareholders, however, expanding the treasury and increasing value per share are different outcomes. Newly issued stock increases the number of shares outstanding, reducing existing investors’ percentage ownership unless they acquire more shares. Whether additional XRP purchases offset that dilution depends on financing terms, acquisition prices and subsequent asset values.

The agreement allows purchases at 97% of the applicable volume-weighted average share price, according to the financing disclosures. This makes the timing and pricing of individual transactions consequential: the headline proceeds estimate does not establish what Evernorth will ultimately receive or how much XRP it could acquire.

The next step is effectiveness of the resale registration statement before sales under the facility can begin. After that, actual fundraising will depend on Evernorth’s decisions and the agreement’s conditions. The filing establishes a potential funding route, not a completed capital raise or a confirmed schedule of XRP purchases.
